Business buyer & operator

Michael-Paul Hart

I’m looking for one established business in Central Indiana to buy and run myself — most likely a B2B service company whose owner is getting ready to retire.

I’m buying for my own account — not a fund, and not on behalf of outside investors. I intend to own the company, operate it, and keep it. If you represent an owner whose business fits the parameters below, I’d welcome a confidential conversation, and I’ll tell you quickly if it isn’t a fit.

What I’m looking for

An established B2B service business

Revenue that repeats — service agreements, contracts, routes, or long-standing repeat accounts — and an owner who is ready to step back.

Sectors of most interest

  • Commercial grounds maintenance
  • Commercial facility maintenance
  • HVAC service
  • Plumbing service
  • Electrical service
  • Mechanical & specialty trades
  • Route-based commercial services
  • Contract-based commercial services
  • B2B distribution with repeat accounts
  • IT managed service providers

I came up through the trades before moving into enterprise technology. Field crews, dispatch, scheduling, service contracts, and the daily rhythm of a service operation are familiar territory — not something I’d be learning from scratch.

Financial parameters

The one that matters most
A capable second-in-command
Someone already running day-to-day operations who intends to stay after closing. This weighs more with me than any single number — a business that runs entirely on the departing owner is usually where I pass.
Revenue
$1M – $6M
Trailing twelve months.
SDE
$350K – $900K
Normalized, with add-backs I can document.
Purchase price
$1M – $3M
$1.25M – $2M is where I’d rather be.
Gross margin
30%+
Typically, though it depends on the model.
Customer concentration
Under 15%
No single customer much above that.
Employees
5 – 40
A real crew, not an owner and a truck.

Geographic focus

Central Indiana, and I mean it

A firm criterion, not a preference. The business needs to be close enough that I can be in it — within about 90 minutes of Indianapolis. I live here, I’m not relocating, and I’m not looking for something to run remotely.

Priority counties

  • Marion
  • Hamilton
  • Hendricks
  • Boone
  • Johnson
  • Hancock
  • Shelby
  • Morgan
  • Madison

A business just outside these counties but still inside the drive time is still worth a call.

Not a fit

What I’m not looking for

Stating this plainly saves us both time.

  • Turnarounds and distressed businesses
  • Franchise resales
  • Retail
  • Restaurants and hospitality
  • Heavy manufacturing
  • Businesses that depend on a license held personally by the departing owner
  • Businesses reliant on City of Indianapolis or Marion County contracts

Ability to close

How I expect to pay for it

My own equity, SBA 7(a) acquisition financing, and seller financing where it makes sense for both sides.

Personal equity
My own capital, available for a transaction in the range above.
SBA 7(a) financing
I’m working with Jon Rolfsen at Huntington Bank on SBA acquisition financing.
Seller financing
Where it’s appropriate, and structured so the seller’s interests and mine stay pointed the same direction.

I underwrite to what the business can actually sustain after debt service, a market wage for the owner’s role, and working capital — not to an asking price. If a deal doesn’t work on those terms, I’d rather say so in the first conversation than in the fourth.

Nothing on this page is a financing commitment for a specific transaction, and no lender endorsement is implied.

Background

About me

Roughly twenty years across technology, operations, business, and the trades. I started out on the tools, moved into IT, and spent much of my career in enterprise technology — most recently as a Director at SHI International, where the work was technology strategy, vendor relationships, budgets, teams, and the operating decisions that come with all of it.

I founded Endpoint Solutions. I’m also a co-owner of a boutique hair salon in downtown Indianapolis — which matters here less for what it sells than for what it takes to run: employees, a lease, a payroll to meet, and customers who either come back or don’t. It’s the reason I know what signing the front of a paycheck feels like.

I serve as an Indianapolis City-County Councilor. That work isn’t the reason I’m buying a business, but it says something about where I intend to be: my family, my relationships, and my professional network are all in Central Indiana, and I’m staying.

A note to the owner

From Michael-Paul Hart

If you’ve spent twenty or thirty years building this, the question you probably care about most isn’t the number. It’s what happens on the Monday after closing.

I’m buying one company to run, not adding one to a portfolio. I’m not planning to merge it into something else, move it, or take it apart for the pieces.

The people are a large part of what I’d be paying for. A crew that knows the routes, the equipment, and which customer calls at 4:45 on a Friday took years to assemble and can’t be replaced with a hiring plan. I want the team to stay, and I want whoever runs day-to-day operations to keep running it.

I’d expect to spend the first several months learning how the company actually works before changing much of anything. Where I do invest, it’s usually in the unglamorous parts — scheduling, dispatch, quoting, billing — because that’s where my background is useful and where growth in a service business tends to come from.

On transition: some owners want to hand over the keys in thirty days and go fishing, others want to stay involved for a year. Both can work, and I’d rather build the deal around what you want than around a template.
